These SMS Terms and Privacy Notice (this "Policy") apply platform-wide to all SMS and MMS messaging transmitted via the Adalace software platform provided by Aesthetronics, Inc., a Delaware corporation ("Aesthetronics"), on behalf of its business customers. This Policy is centralized and not customer-specific. By enabling or using messaging features, each business customer agrees that these terms govern all messaging sent through its account, and that end users who receive messages are subject to this Policy.
Aesthetronics provides the Adalace software and related transmission services only. Each business customer is the sender of record and is responsible for message content and audience and for collecting, documenting, and maintaining any legally required consent from its end users, including honoring opt-out requests. Aesthetronics acts as a service provider/processor and processes personal information solely to provide the services to the customer consistent with the customer's instructions and applicable agreements.
Messaging facilitated by Adalace may include, as configured by a customer, appointment and booking confirmations and reminders, scheduling changes, transactional notifications, and service-related communications. Marketing or promotional messaging is permitted only if the customer has obtained the level of consent required by applicable law and carrier/industry rules.
Adalace is business management software created by Aesthetronics, Inc. We are an ISV (Independent Software Vendor) B2B2C SaaS platform. Our management software is hosted on the https://Adalace.ai domain, and technical support is available at Support@Adalace.ai. Our marketing website and legal documentation are accessible via https://joinadalace.com, with this SMS policy specifically located at https://joinadalace.com/sms-terms. Both domains are owned and operated by Aesthetronics, Inc. The software provides SMS appointment notifications and confirmations that let clients reply to confirm or reschedule, sends reminders, and supports two-way SMS between the client business and its customers. Messages include the business name and opt-out information. Messages are only sent to contacts who gave explicit consent. Adalace captures and logs all messaging on behalf of the business.
As an Independent Software Vendor (ISV), Aesthetronics maintains strict brand separation protocols to ensure compliance and prevent cross-contamination of messaging campaigns:

Each customer must obtain express, demonstrable opt-in from end users before sending messages, using clear language that explains message purpose, anticipated frequency, that standard Msg & data rates may apply, and that consent is not a condition of purchase. Opt-in mechanisms may include web forms, point-of-sale flows, paper forms, or other compliant methods; the customer must retain records of consent and provide them upon reasonable request for compliance review.
Adalace supports multiple consent collection channels to ensure proper opt-in compliance:
Record keeping: Adalace stores consent method (web/app/phone/in person/inbound text), timestamp, staff ID (if applicable), and metadata for compliance purposes.

Adalace enforces universal keyword processing. If an end user replies any opt-out keyword (STOP, END, CANCEL, UNSUBSCRIBE, QUIT, OPTOUT, REVOKE, or STOPALL), Adalace will block further messages to that number for the applicable program and return a one-time confirmation of the opt-out. Reply HELP (or INFO) returns basic help and contact information, including Support@Adalace.ai. Customers can also re-subscribe by replying START or SUBSCRIBE. Customers must not override or circumvent platform-level opt-outs and must honor any opt-out request received through other channels without unreasonable delay.
Message frequency varies by user activity and customer configuration. Standard Msg & data rates may apply. Consent to receive texts is not a condition of purchase.
Use of messaging must comply with all applicable laws and regulations, including the U.S. Telephone Consumer Protection Act (TCPA), CAN-SPAM (as applicable), state analogs, Canada's anti-spam laws where relevant, the CTIA Messaging Principles and Best Practices, and carrier policies. Prohibited content includes illegal, deceptive, abusive, harassing, or misleading messages; phishing; SHAFT content (sex, hate, alcohol to minors, firearms, tobacco to minors); and messages that violate intellectual-property or privacy rights. Aesthetronics may monitor for abuse and may suspend or terminate messaging to protect recipients, carriers, and the platform or to address violations.
This policy strictly prohibits SHAFT/PHI content and other restricted categories. Specifically prohibited content includes:
Customers must ensure their websites, marketing materials, and messaging samples do not hint at or promote any of these prohibited categories. Violations may result in immediate suspension or termination of messaging services.
Delivery is subject to carrier coverage and network conditions; carriers and Aesthetronics are not liable for delayed or undelivered messages. A wireless carrier may disclose limited account or device information to Aesthetronics and its messaging providers solely to help identify a line and prevent fraud.
Customers must not transmit protected health information, government ID numbers, payment card data, or other sensitive personal data via SMS. Aesthetronics does not support HIPAA-regulated SMS unless expressly agreed in a separate HIPAA program and Business Associate Agreement.
Aesthetronics processes the following categories of personal information as needed to provide messaging: phone numbers; message content; timestamps; delivery and routing metadata; opt-in/opt-out status; device/carrier identifiers provided by carriers; customer account identifiers. Aesthetronics uses this information to send and deliver messages, operate and secure the platform, prevent fraud/abuse, comply with law, provide support, and improve service performance. Aesthetronics does not sell or share personal information for cross-context behavioral advertising.
Aesthetronics retains messaging logs, opt-in/opt-out records, and related metadata for approximately 18 months, or longer if required to comply with law, enforce rights, or resolve disputes, after which records are deleted or de-identified. Individual customers may retain their own records on their systems for longer periods.
Aesthetronics may disclose messaging data to its subprocessors (including messaging carriers, delivery vendors, security and support providers) strictly to provide the services; to comply with law or valid legal process; to prevent fraud, abuse, or security incidents; or in connection with corporate transactions. Data may be processed in the United States and other jurisdictions; appropriate safeguards are applied for cross-border transfers.
Aesthetronics implements technical and organizational measures designed to protect messaging data against unauthorized access, use, or disclosure appropriate to the nature of the data and the risks of processing. No transmission method is fully secure; customers must also protect access to their accounts and limit user permissions appropriately.
Each customer must display or link to this centralized Policy (SMS Terms and Privacy sections) anywhere it collects SMS opt-in, including websites, checkout flows, paper forms, and other enrollment points, and include a short-form disclosure at the opt-in point stating purpose of messages, that Msg & data rates may apply, that frequency varies, instructions to reply STOP to cancel and HELP for help, and a link to this Policy.
Aesthetronics may update this Policy from time to time to reflect operational, legal, or regulatory changes. Material changes will be posted with a new effective date. Continued use of messaging after changes take effect constitutes acceptance.
